Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the website located at nextpro.cc and any related pages, features and services (together, the "Service"). NextPro is a service of MeetingTV Inc. ("MeetingTV," "we," "us" or "our").
Please read these Terms carefully. Section 11 contains a mandatory individual arbitration agreement and a class action and jury trial waiver that affect how disputes between you and us are resolved. You may opt out of arbitration as described in Section 11.6.
1. Acceptance of These Terms
By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. You represent that you are at least 18 years old, or the age of majority where you live, and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. The Service
The Service is a directory that helps users locate licensed professionals, such as doctors, dentists, attorneys, accountants, pharmacists, veterinarians and other licensed practitioners, near a location the user provides. The Service is provided for general informational purposes only. MeetingTV is not a referral service, does not provide medical, legal, financial or other professional advice, and is not a party to any relationship between you and any professional listed on the Service.
3. Listing Information and Data Accuracy
Listings on the Service are compiled from publicly available government licensing records and from third-party sources, including Google Places. A listing may display a professional's own website or the website of the practice, firm, facility or business located at the professional's listed address. We do not verify, and make no representation regarding, the accuracy, completeness, timeliness, license status, qualifications, competence or quality of any professional or business listed on the Service. Information may be outdated or incorrect, and a license may have lapsed, been restricted or changed since the source record was published.
The inclusion of any professional or business on the Service is not an endorsement, recommendation, certification or ranking by MeetingTV. You are solely responsible for independently verifying a professional's license status, credentials and suitability, for example with the applicable state licensing board, before engaging their services.
Professionals who wish to correct or request removal of their listing may contact us at support@nextpro.cc. We may ask for information reasonably necessary to verify the request and will review requests in good faith, but we are not obligated to make any particular change except as required by law.
4. Acceptable Use
You agree to use the Service only for lawful, personal and non-commercial purposes, and in compliance with these Terms. You agree not to:
- scrape, crawl, spider, harvest or bulk-download any content or data from the Service, whether by automated means (including bots, scripts or other tools) or by manual means, or build or contribute to any database, directory or dataset using content from the Service;
- access the Service through any automated means, or in a manner that sends more requests than a human can reasonably produce using a standard web browser;
- use any information obtained from the Service to send unsolicited communications, solicitations or advertising, or for any purpose prohibited by law, including stalking, harassment, discrimination or determining eligibility for credit, employment, insurance, housing or similar purposes;
- copy, reproduce, republish, resell, sublicense or otherwise commercially exploit the Service or its content, except as expressly permitted by us in writing;
- interfere with, disrupt or impose an unreasonable load on the Service or its infrastructure, or circumvent any security, rate-limiting or access-control measure;
- reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent applicable law expressly permits it;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
- attempt any of the foregoing, or assist or permit anyone else to do so.
5. Intellectual Property
The Service, including its design, software, text, graphics, compilation of data and other content (excluding public-record facts and third-party content), is owned by MeetingTV or its licensors and is protected by copyright, trademark and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. All rights not expressly granted are reserved. Third-party names, trademarks and content remain the property of their respective owners.
6. Third-Party Sites and Content
The Service contains links to third-party websites, maps and services, including professionals' and businesses' websites. We do not control and are not responsible for third-party sites or content, and links do not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms and policies.
7. Disclaimer of Warranties
The Service and all content are provided "as is" and "as available," without warranties of any kind, express, implied or statutory. To the fullest extent permitted by law, MeetingTV disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure or error-free, that defects will be corrected, or that any information on the Service is accurate, complete or current.
8. Limitation of Liability
To the fullest extent permitted by law, in no event will MeetingTV or its officers, directors, employees, agents, licensors or suppliers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or other intangible losses, arising out of or relating to the Service, these Terms, or any services provided by a professional or business you find through the Service, whether based on warranty, contract, tort (including negligence), statute or any other legal theory, even if advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. In that case, our liability is limited to the fullest extent permitted by applicable law.
9. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless MeetingTV and its officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms or your misuse of the Service.
10. Termination
We may suspend or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. We may also modify or discontinue the Service at any time. Sections 3 and 5 through 13, and any other provisions that by their nature should survive, will survive termination.
11. Dispute Resolution: Binding Arbitration and Class Action Waiver
11.1 Informal resolution. Before starting arbitration or a small-claims action, you and we each agree to first try to resolve the dispute informally by sending a written notice describing the dispute and the relief sought (for you, to support@nextpro.cc). If the dispute is not resolved within 60 days after the notice is received, either party may begin a proceeding.
11.2 Agreement to arbitrate. Except as provided in Section 11.4, you and MeetingTV agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service, including the formation, scope, validity or enforceability of this arbitration agreement, will be resolved exclusively by final and binding individual arbitration, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this Section 11.
11.3 Arbitration rules. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, available at www.adr.org, as modified by these Terms. A single arbitrator will preside. Payment of filing, administration and arbitrator fees will be governed by the AAA Consumer Arbitration Rules. Unless you and we agree otherwise, any in-person hearing will take place in the county where you reside or in San Diego County, California, at your election, and the arbitrator may decide claims on written submissions or by telephone or video conference. The arbitrator may award the same individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
11.4 Small-claims exception. Either party may instead bring an individual action in a small-claims court of competent jurisdiction, so long as the action remains in that court and is pursued only on an individual basis.
11.5 Class action and jury trial waiver. You and MeetingTV each agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative action or proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective or representative proceeding, and there will be no class arbitration. You and MeetingTV each waive any right to a trial by jury. If this class action waiver is found unenforceable with respect to any claim, that claim must be severed and heard in court as provided in Section 12, and not in arbitration.
11.6 30-day right to opt out. You may opt out of this agreement to arbitrate by sending an email to support@nextpro.cc within 30 days after you first use the Service or first accept these Terms, whichever is later. Your email must include your name, your mailing address, and a clear statement that you are opting out of arbitration. Opting out will not affect any other part of these Terms, and disputes will then be resolved as provided in Section 12.
11.7 Severability. Except as stated in Section 11.5, if any part of this Section 11 is found unenforceable, the remainder will remain in effect.
12. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of California, without regard to its conflict-of-law principles, and, as to Section 11, by the Federal Arbitration Act. For any dispute that is not subject to arbitration, you and MeetingTV consent to the exclusive jurisdiction of, and venue in, the state and federal courts located in San Diego County, California.
13. Changes to These Terms
We may revise these Terms from time to time. When we do, we will post the updated Terms on this page and update the effective date above. Material changes will take effect no sooner than the date they are posted. Your continued use of the Service after updated Terms take effect constitutes your acceptance of them. If we change Section 11 after you first accept these Terms, you may reject the change by emailing us within 30 days after it takes effect, in which case the prior version of Section 11 will continue to apply to you.
14. General
These Terms, together with the Privacy Policy, are the entire agreement between you and MeetingTV regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction. There are no third-party beneficiaries of these Terms.
